DESCRIPTION OF WORK:

1. Allied shall provide a dedicated secure data room to the Client,
2. The Client or an approved representative shall upload all documentation to Allied at Allieds request, allowing Allied to review the project as quickly as possible.
3. Should further documentation be requested, the Client shall provide it as quickly as possible, without delay and at their cost.
4. All Documentation will be in English and in US Dollars.
5. Allied shall undertake a review of the documentation for the purposes of sourcing and introducing an investor.
6. Allied cannot guarantee the authenticity, integrity or completeness of data files supplied by the Client to the Funder
7. Allied shall work to complete the review as soon as possible.
8. Upon completing the review, Allied shall seek a clear indication from the Funder(s) of their willingness to proceed with the Desktop review and will terminate Allieds Contract of Services offered to the Client.

PROFESSIONAL RESPONSIBILITY: Allied will provide and exercise the standard of care and diligence required by customarily accepted professional practices usually provided during the period of the Pre-Finance review.

COMPENSATION: Allied do NOT REQUIRE ANY UPFRONT FEES to undertake their Pre-Finance review. However, upon receiving a clear indication from the Funders of their willingness to proceed, Allied will issue the Client their Contract of Services, tailored to the Client's financial requirements and project. This will list the scope of work to be carried out under their Mandate to support the Client through to a financial close. If you accept the Contract of Service, you will then enter a period of exclusivity with Allied, and a commitment fee or retainer will be required.

EXCLUSIONS: Except as specifically described in these Terms and Conditions, Allied’s investigation or recommendations will NOT address or evaluate pollution of soil or pollution of materials or groundwater under any circumstances. Allied will NOT provide advice but outline any recommended changes that Allied believe will improve the Clients' offering to the funder. If required, these recommendations should be referred to the Clients professional team for re-submission and review.

Allied do not offer insurance or financial advice, and user information should be seen as a guide, not as a recommendation to use any insurance or investment strategy. Allied shall have no obligation to update these terms and conditions and shall have no liability to you or any other party arising out of its publication or any matter contained therein
